3. License to Use Our Service

Subject to this Agreement, Prodynest grants you a revocable, non-exclusive, non-transferable license (without the right to sublicense) to access and use our Service for your personal, non-commercial use. You agree that you obtain no rights other than the rights and licenses expressly granted in these Terms.

All content, visual interfaces, interactive features, graphics, logos, design, code, and all other elements of the Software (“Prodynest Materials”) are owned by or licensed to Prodynest and are protected by intellectual property laws. Except as expressly authorized by us, you agree not to sell, license, distribute, copy, modify, publicly perform or display, or create derivative works from the Service or the Prodynest Materials.

4. Fees and Commissions

Prodynest provides the Service to you completely free of charge. We do not charge any fees for accessing our Deals. When you use a link from our Site to make a purchase from one of our Merchant Partners, we may earn a small commission from that merchant. This commission comes at no extra cost to you. It is how we fund our operations, pay our dedicated team of deal testers, and continue to provide a high-quality, free service to our community of users.

5. User Obligations and Conduct

Your access to and use of the Service is conditioned on your compliance with these Terms and all applicable laws.

5.1. Eligibility

You must be at least 18 years of age to create an account or use the Service. Membership is not transferable.

5.2. Authorized Use

You agree that you will not, and will not permit others to:

• Modify, reverse engineer, decompile, or disassemble any part of our Software.

• The quality, availability, shipping, or returns of any products or services you purchase from them.
• The final terms and conditions of any offer, which are subject to change by the merchant at any time without notice.

Your participation in offers from, or correspondence with, any Merchant Partner is solely between you and that merchant. We assume no liability, obligation, or responsibility for any part of such interactions. Always exercise caution and use common sense when transacting with third parties.

7. Deals, Offers, and Their Validity

Our team works diligently to verify the Deals presented on our Site. However, the world of online retail moves quickly. We do not guarantee that every Deal will be valid 100% of the time.

• Merchant Discretion: Each Merchant Partner reserves the right to change, pause, or terminate any offer at any time, without prior notice. This includes modifying the discount amount, changing the expiration date, or adding exclusions.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. MERCHANT PARTNERS ARE SOLELY RESPONSIBLE FOR THE PRODUCTS AND SERVICES THEY OFFER. PRODYNEST DOES NOT ENDORSE, WARRANT, OR GUARANTEE ANY PRODUCT OR SERVICE OFFERED BY A MERCHANT PARTNER.

9.2. Limitation of Liability

IN NO EVENT SHALL PRODYNEST, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR OTHER INDIRECT DAMAGES, OR FOR LOSS OF PROFITS OR DATA, THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THE SERVICE OR THE INFORMATION CONTAINED ON THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY TO YOU FROM ALL DAMAGES, LOSSES, AND CAUSES OF ACTION RESULTING FROM YOUR USE OF THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL NOT EXCEED THE AMOUNT OF FIFTY U.S. DOLLARS ($50.00).

You agree to cooperate as fully as reasonably required in our defense of any claim. We reserve the right to assume exclusive control over the defense of any matter subject to indemnification by you.

11. Termination of Use

These Terms are effective until terminated by either you or us. You may terminate your agreement to these Terms at any time by ceasing all use of the Service. We may, in our sole discretion, suspend or terminate your access to the Service at any time, for any reason, including for breach of these Terms, without prior notice.

Upon termination, your right to use and access the Service will immediately cease. Sections of these Terms that by their nature should survive termination (including, but not limited to, Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification) shall survive.

12.3. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Prodynest regarding your use of the Service and supersede all prior agreements and understandings.
